Welcome to Averi
These Terms of Service govern your use of Averi's content marketing platform and services. By using Averi, you agree to these terms.
Important: If you're signing up on behalf of a company, you're agreeing to these terms on your company's behalf. Make sure you have the authority to do so.
Quick Summary (Not Legal Advice)
Here's what you're agreeing to in plain English:
What you get: Access to our AI-powered content marketing platform
What you pay: Monthly or annual fees based on your planYour content: You own it. We can use it to provide our service and improve our AI
Our content: We own the platform and software. You can use it but not copy or resell it
If things go wrong: We'll fix issues when we can, but we're not liable for business losses
Ending the relationship: Either of us can cancel with proper notice
Disputes: We'll try to work things out, or use arbitration
Now, here are the detailed legal terms:
1. Definitions
Let's define some terms we'll use throughout:
"You" or "Customer" means you, or the company you represent
"We," "Us," or "Averi" means Averi, Inc. and our affiliates
"Services" means our platform, software, expert services, and everything we provide
"Authorized Users" means your employees and contractors who you've given access to Averi
"Your Content" means all content, data, and materials you upload or create in Averi
"Our Platform" means the Averi software, AI tools, and underlying technology
"Order Form" means the form where you select your plan and pricing
"Subscription Period" means the time period you're paying for (monthly or annually)
2. Your Account and Access
What You Get
When you sign up for Averi, you get:
Access to our content marketing platform for your internal business use
The ability to add Authorized Users based on your plan
Use of our AI tools and expert services as specified in your plan
Access to documentation and support
Your Responsibilities
You're responsible for:
Account Security: Keep your login credentials secure. Each person needs their own account.
User Management: You're responsible for everything your Authorized Users do with their accounts
Accuracy: Provide accurate billing and contact information
Compliance: Use Averi legally and according to these terms
Your Content: Make sure you have the right to use any content you upload
Usage Limits
Your plan may include specific limits on:
Number of users
Features available
Content generation volume
Going over these limits may require upgrading your plan.
Beta or Free Plan
If you're using our beta or free plan:
We can modify or terminate the free plan at any time
It's provided "as-is" without warranties
You need to export your content regularly—if we end the free plan, we'll give you reasonable time to download your data
You agree we can use your content to train our AI models (anonymized)
3. What We Provide
Our Services
We provide:
Platform Access: Our cloud-based content marketing software
AI Tools: AI-powered content generation and optimization
Integrations: Connections to third-party tools you authorize
Updates: Regular improvements and new features
Support: Customer support based on your plan level
Implementation and Onboarding
For paid plans, we'll provide:
Standard onboarding and setup assistance
Documentation and training materials
Ongoing support as specified in your plan
Additional implementation help beyond what's included may be available at our standard hourly rates.
Service Updates
We regularly improve Averi by:
Fixing bugs and security issues
Adding new features
Updating our AI models
Improving performance
We'll notify you of major changes but may make minor updates without notice.
Third-Party Integrations
Averi works with other tools you use:
Your Responsibility: You need proper access to these tools
No Guarantees: We can't promise specific integrations will always work
Their Terms Apply: When you connect other tools, their terms still apply
Authorization: By connecting a tool, you confirm you have the right to do so
How Our AI Works
Important Information About Our AI:
Our AI uses large language models from third-party providers (like OpenAI, Anthropic, etc.). This means:
AI Content Isn't Perfect: AI-generated content may contain errors, be incomplete, or inaccurate
Not Guaranteed Unique: AI might produce similar content for different users
Your Responsibility to Review: Always review and edit AI outputs before using them
Don't Claim It's Human-Written: Be transparent that AI assisted in creating content
Similar Inputs, Different Outputs: The same prompt might generate different results each time
You agree that:
You won't try to extract data by scraping or automated methods
You won't try to reverse-engineer our AI
You're responsible for how you use AI outputs
We're not liable for issues arising from AI-generated content
4. Your Rights and Our Rights
What You Own
Your Content: You own all content, data, and materials you create or upload to Averi.
Your Responsibility: You're responsible for:
Having the rights to use your content
Ensuring your content doesn't violate anyone's rights
The accuracy and legality of your content
What We Can Do With Your Content
By using Averi, you give us permission to:
Store and process your content
Use it to provide our services (generate content, analyze performance, etc.)
Make copies for backup and security
Display it to your Authorized Users
For AI Training:
Free Plan: We can use your content (anonymized) to train our AI
Paid Plans: We use aggregated, de-identified data to improve our services, but we don't use your specific content to train models for other customers
What We Own
Our Platform: We own:
The Averi software and platform
Our AI models and algorithms
Our branding and design
Documentation and training materials
Data about how the service is used (anonymized)
Your License: We give you a limited right to use our platform during your subscription. You cannot:
Copy, modify, or reverse-engineer our software
Resell or share access with unauthorized parties
Use it to build a competing product
Remove copyright notices or branding
Restrictions
You may not:
Use Averi for illegal purposes
Upload malware or harmful code
Try to hack or access unauthorized areas
Abuse the service or use excessive resources
Use it for life-critical systems (medical devices, aviation, etc.)
Share your account with others
Violate others' intellectual property rights
We may:
Suspend your account if you violate these terms
Monitor for security and abuse
Remove content that violates our policies
Change features and pricing (with notice)
5. Payment
Fees
What You Pay:
Subscription fees based on your plan
Additional fees for usage above plan limits
Any professional services fees agreed upon

How Payment Works
For Credit/Debit Cards:
Charges are automatic based on your billing cycle
Keep your card information current
We use Stripe for payments (their terms apply)
For Invoices:
We invoice you based on your agreement
Payment is due within 30 days
Late payments incur 1.5% interest per month
What Happens If You Don't Pay
If your payment is more than 30 days late (or 10 days for card payments):
We may suspend your service
You still owe the money
We may charge late fees
We'll give you notice before suspending (usually 10 days).
Refunds
Generally:
Fees are non-refundable
You can't decrease your subscription mid-term
If we terminate for cause, you owe the rest of the term
If you terminate for our breach, we'll refund prepaid fees
Taxes
You're responsible for:
Sales tax, VAT, and similar taxes
Providing tax exemption certificates if applicable
We're responsible for:
Our own income and employment taxes
6. Confidentiality
What's Confidential
Confidential information includes:
Business strategies and plans
Pricing and contract terms
Technical information and trade secrets
Customer lists and financial data
Anything marked "confidential"
Not confidential:
Publicly available information
Information you already knew
Information you received from others legally
Information you developed independently
Your Obligations
You must:
Keep our confidential information secret
Only share it with employees who need it
Protect it as carefully as your own secrets
Exception: You can disclose if required by law (with notice to us when possible).
How Long
Confidentiality lasts for 3 years after the agreement ends, or indefinitely for trade secrets.
7. Data and Privacy
How We Handle Your Data
Security: We use industry-standard security measures:
Encryption for data in transit and at rest
Access controls and monitoring
Regular security audits
Employee training
Your Responsibility: You're responsible for:
Who you give access to
What content you upload
Your own backup copies
Personal Information
Our Privacy Policy (at www.averi.ai/privacy) explains how we handle personal information.
Data Processing Agreement: If you're subject to GDPR or similar laws, our Data Processing Agreement (DPA) at www.averi.ai/dpa applies.
Usage Data
We collect data about how you use Averi:
Which features you use
Performance metrics
Error logs
Anonymized usage patterns
We use this to:
Improve our service
Fix bugs
Prevent abuse
Develop new features
8. Term and Termination
How Long This Lasts
Your Subscription:
Starts when you sign up
Runs for your chosen term (monthly or annual)
Auto-renews unless you cancel
Cancel at least 30 days before renewal
The Agreement:
Continues until all subscriptions end
How to Cancel
You can cancel:
By giving us 30 days notice before renewal
Your account remains active until the end of your paid period
Download your content before it ends
We can cancel if:
You don't pay (with notice)
You breach these terms materially
You go bankrupt
You violate intellectual property or confidentiality terms
Temporary Suspension
We may temporarily suspend your access if:
There's a security threat
You're using excessive resources
Your account is 10+ days overdue
You're violating these terms
It's required by law
Third-party services we depend on are unavailable
We'll notify you when possible and restore access when the issue is resolved.
What Happens After Termination
When your subscription ends:
You lose access to the service
Download your content within 30 days
We may delete your content after 90 days
Payment obligations remain
What survives termination:
Payment obligations
Confidentiality duties
Intellectual property rights
Limitation of liability
Dispute resolution terms
9. Liability and Protection
Our Warranties
We promise that:
We have the right to provide the service
The service will generally work as documented
We'll use reasonable efforts to maintain service
If the service doesn't work as promised:
We'll fix it
That's your only remedy for breach of warranty
What We Don't Promise
We DO NOT guarantee:
The service will be error-free or uninterrupted
AI outputs will be accurate or complete
Results will meet your expectations
Third-party integrations will always work
Specific features will always be available
Free services are provided "as-is" with no warranties at all.
Protecting Each Other (Indemnification)
We'll protect you if:
Someone claims our service infringes their intellectual property
We'll defend the claim and if necessary pay damages
You must notify us promptly and cooperate
You'll protect us if:
Someone claims your content infringes their rights
You misuse the service
You violate these terms
Limits on Our Liability
We're NOT liable for:
Lost profits or revenue
Lost data (back up your content!)
Business interruption
Indirect or consequential damages
Issues with third-party services
Problems from AI outputs
Maximum amount we'll pay:
The fees you paid us in the last 12 months
For free services: $100
Exceptions: These limits don't apply to:
Our indemnification obligations
Your payment obligations
Your violations of intellectual property or confidentiality
10. Legal Stuff
The Complete Agreement
This agreement (including any order forms) is the complete deal between us. It replaces any previous agreements or promises.
If there's a conflict, this order wins:

Documentation
Changes to These Terms
For paid customers: We need mutual agreement to change terms.
For free users: We can update these terms by:
Posting new terms on our site or
Notifying you by email
Continuing to use the service means you accept the changes
Publicity
You agree we can:
List you as a customer on our website
Use your logo in our marketing materials
Reference our relationship publicly
If you don't want this, let us know in writing.
No Partnership
We're not partners or joint venturers. We're independent businesses working together.
Assignment
You cannot transfer this agreement without our permission.
We can transfer:
To a company that buys our business
To one of our affiliates
To subcontractors who help us provide service
Governing Law and Disputes
Location: This agreement is governed by New York law.
Resolving Disputes:
First, Talk to Us: Try to resolve issues directly
Then, Arbitration: If that doesn't work, we'll use binding arbitration in New York
One arbitrator through the American Arbitration Association
English language proceedings
AAA Consumer Arbitration Rules apply
The arbitrator's decision is final
Important Limitations:
No class actions: Disputes must be individual, not class-wide
No jury trials: You give up the right to a jury trial
Opt-out: Free users can opt out within 30 days by writing to us
Emergency Relief:
Either of us can seek court orders for intellectual property disputes
We don't have to arbitrate those
Court Location:
If arbitration doesn't apply, courts are in New York, New York
Export Compliance
Don't use Averi:
In countries under U.S. sanctions
In violation of export control laws
If you're prohibited from using U.S. technology
Government Users
If you're a U.S. government agency:
The service is a "commercial item"
You get the same rights as other customers
Standard commercial terms apply
Miscellaneous
Force Majeure: We're not liable for delays beyond our control (disasters, wars, strikes, internet outages, etc.)
Severability: If part of this agreement is unenforceable, the rest still applies.
Waiver: Our failure to enforce a right doesn't mean we've waived it.
